1. Organizer: The Loop Earplugs x SoulCycle giveaway (the "Giveaway") is operated by Loop America Inc, headquartered at 530 7th Avenue – Suite 902, New York, NY 10018, United States (“Loop”, “Us”, “Our” and “We”), in partnership with SoulCycle LLC, headquartered at 609 Greenwich Street, New York NY 10014, United States (“SoulCycle”).

2. Rules: The following Rules apply to the Giveaway and are in addition to the terms and conditions contained in Our Privacy Policy and Terms of Service. Please read these Rules carefully. By participating in the Giveaway, You have affirmatively reviewed, accepted, and agreed to all of the Rules. The Giveaway is subject to all applicable federal, state and local laws and regulations.

3. Agreement to Rules: By participating, you (the “Entrant" or “You”) agree to these Rules. You represent and warrant that You meet the eligibility requirements and accept Loop’s decisions as final and binding. Any questions, comments or issues related to the Giveaway should be directed to Loop.

4. Entry Period: The Giveaway begins on February 17, 2026 at 12:00 PM EST and ends on February 24, 2026 at 4:00 PM EST (“Entry Period”). Entries submitted before or after the Entry Period will not be eligible.

5. Prize: One (1) winner of the Giveaway (the "Winner") will receive a (a) suite of Loop earplugs, including Loop Experience 2, Loop Switch 2, Loop Engage 2, Loop Dream, Loop Quiet 2 + Loop Link in each color, excluding Coachella, Swarovski, McLaren and Tomorrowland editions, (b) and a 6-month SoulCycle membership (8 free classes a month) at one of the participating SoulCycle Studios (the “Prize”). Approximate Retail Value (“ARV”): Loop Earplugs collection: $868.90, SoulCycle membership: $1,554 before taxes. Total ARV per Prize: $2,422.90. The Prize is personal, non-transferable, and cannot be exchanged for cash.

6. Eligibility: The Giveaway is only open to those who are at least 18 years of age on the entry date and are a resident of the United States. Employees, contractors, interns, officers, directors, and agents of Loop, as well as its affiliates, subsidiaries, advertising and promotion agencies, suppliers and immediate family members and/or those living in the same household of each are not eligible to participate in the Giveaway. Entries must meet all Giveaway Rules to be eligible to win a Prize. Loop reserves the right to verify the eligibility of the Entrant.

7. How to Enter: To enter the Giveaway, You must follow @loopearplugs and @soulcycle on Instagram and complete the entry form at www.loopearplugs.com/pages/soulcycle-give-away by providing Your valid email address and Instagram handle. By submitting the form, You agree to enter the Giveaway and to subscribe to the newsletters of Loop and SoulCycle, with the option to opt out at any time (see section 14 below). Incomplete entries or those that do not adhere to the Rules may be disqualified at the sole discretion of Loop. Multiple entries or attempts to enter through multiple email addresses, identities, or devices are prohibited and may result in disqualification. No purchase is necessary to participate or win.

8. Winner Selection and Notification: The Winner will be selected at random by Loop from all eligible entries received during the Entry Period. The Winner will be contacted by February 27, 2026, using the details provided at entry. If the Winner cannot be contacted, is ineligible, fails to claim the Prize within 5 calendar days from the time Our notification was sent, or fails to

timely return a completed and executed declaration and release as required, the Prize may be forfeited, and an alternate Winner selected. Loop shall have no liability for a Winner's failure to receive notices due to spam, junk e-mail or other security settings or for a Winner’s provision of incorrect or otherwise non-functioning contact information. Any violation of these Rules by the Winner will result in the Winner's disqualification as winner, and all privileges as Winner will be immediately terminated.

9. Winner Announcement: To request a copy of the Winner announcement, please contact Us. Requests must be sent within 2 weeks of the end of the Entry Period.

10. Shipment Prize: The Winner will indicate the delivery address and other shipping info within 48 hours of being contacted, or Loop can pick another winner. Loop will take responsibility of shipping the Loop products and SoulCycle will take responsibility of setting up the membership. Receipt of the Prize offered in the Giveaway by the Winner is conditioned upon compliance with any and all federal, state, and local laws and regulations.

11. Disqualification: Loop reserves the right at its sole discretion to disqualify, of this Giveaway or any future Giveaways, any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website, or violates these Rules. Loop has the right to maintain the integrity of the Giveaway, to void entries for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Giveaway rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website of Loop or undermine the legitimate operation of the Giveaway, may be a violation of criminal and civil laws. Should such an attempt be made, Loop reserves the right to seek damages to the fullest extent permitted by law.

12. Modifications: Loop reserves the right to cancel, terminate, modify or suspend the Giveaway should virus, bug, unauthorized human intervention, fraud, or other cause beyond the Loop’s control corrupt or affect the administration, security, fairness, or proper conduct of the Giveaway. In such cases, Loop may select a winner from eligible entries received before and/or after the action taken by Loop. Loop also reserves the right to cancel, terminate, modify or suspend the Giveaway in any jurisdiction if it is forced to do so due to illegality or invalidity of the Giveaway or due to binding self-regulatory rules, without any right of compensation towards the Giveaway participants. This Giveaway is void where prohibited by law or where registration or bonding is required.

13. Limitation of Liability: By entering the Giveaway, You agree to release and hold harmless Loop and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant’s participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of any Prize or any portion thereof; (ii) unauthorized human intervention in any part of the Giveaway; (iii) electronic or human error in the administration of the Giveaway or the processing of entries; (iv) technical errors of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (v) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (vi) printing errors; (vii) lost, late, postage due, misdirected, or undeliverable mail. Loop will not be liable for any damages or losses as a result of failure by Us to deliver the Prize as a result of any

circumstances outside of Our direct and reasonable control including, but not limited to, as a result of a server failure (including but not limited to access delays or interruptions, data non-delivery or mis-delivery), any act(s) of God, war or terrorism, breaches of security or unauthorized use of personal data arising from hacking and/or failure or lack of reception of telephone or mobile telephone networks.

14. Data Protection: By submitting Your personal details, You agree to Loop processing those details for the purpose of the Giveaway (including announcement of the Winner) and to send you additional product announcements, promotions and updates regarding Loop and its products. Any such processing of your personal details is done in accordance with Loop’s Privacy Policy which is available at https://us.loopearplugs.com/policies/privacy-policy. You also agree that your personal details will be shared with SoulCycle, to send you SoulCycle newsletters, in accordance with its privacy policy available at https://www.soul-cycle.com/legal/privacy-policy. You can withdraw your consent and unsubscribe from any of these communications at any time and free of charge. Withdrawing your consent will not affect the lawfulness of any processing carried out before your withdrawal.

15. Social Media: The Giveaway is in no way sponsored, endorsed, administered by, or associated with any social media platforms where it may be shared. You understand that You are providing your information to Loop and not to social networks.

16. Disputes: This Giveaway is governed by the laws of the State of New York, without respect to conflict of law doctrines. Disputes shall be resolved individually, without resort to any form of class action, and exclusively by the courts of New York County in the State of New York, unless required otherwise by the laws of the Entrant’s country of residence. Participants waive the right to claim any damages beyond out-of-pocket expenses.
